Philosophy

Income before growth. Prudence before ambition. Capital, preserved first.

Sidus rests on a simple hierarchy of return. Recurring, tangible income comes first: the part of the portfolio we can see, count, and put back to work. Everything beyond it earns a place only by improving the risk-adjusted whole, and only once the income base is secure.

The method is deliberately unglamorous. Dividends from Singapore REITs and premium from a systematic options overlay lay down a floor of cash return; that cash is reinvested, and reinvested again. Compounding does the work that forecasting cannot. This is a discipline held through full cycles, refined over more than a decade of managing the strategy with our own capital.

What sits above that floor is kept deliberately restrained. Leverage is conditional and capped, present only when the macro backdrop earns it, and withdrawn entirely under stress. A small, ring-fenced sleeve carries higher-conviction growth and tactical macro positions; it can add asymmetry, but it never competes with income for the portfolio's centre of gravity. As rate, currency, and commodity regimes turn, the book rotates with them by rule, not by reflex.

We have run the strategy through the harder chapters of market history. The aim is not immunity from drawdowns but readiness for them: an income floor that keeps paying, leverage that steps aside, and a growth sleeve sized so that a poor year for ambition is never a poor year for the fund. The portfolio is meant to compound through difficult markets, not merely to outlast them.

The principals invest in the fund on the same terms as every other investor: same risk, same fees, same outcome. We are paid to compound capital, ours included.

We are deliberate about whom we admit. We look for investors whose horizon matches the strategy's: partners content to let capital compound, rather than capital that must be returned on a short clock. A fund built for the long term needs holders built for it too.

Sidus Capital launches as a segregated portfolio of a British Virgin Islands Segregated Portfolio Company, registered as an Approved Fund with the British Virgin Islands Financial Services Commission. Why the British Virgin Islands

BVI is one of the world's most established fund domiciles, used by the majority of global hedge funds and private equity vehicles. It is fully compliant with FATCA, CRS, and FATF standards. The structure (Approved Fund status, segregated portfolio architecture, independent administration via NAV Fund Services, and custody via Interactive Brokers) provides institutional-grade governance at a cost and complexity appropriate to the fund's scale, and accommodates a leadership team based across multiple financial centres.

Francois Mauro, Founder & Managing Director.

Singapore-based, with eighteen years across Asian banking and capital markets. His career includes tenures at BNP Paribas Securities Services and Standard Chartered Bank.

Alongside his institutional career, Francois has built and managed a substantial personal portfolio for more than a decade, applying the same disciplined framework now institutionalised through Sidus Capital: S-REIT income, systematic options overlay, and conditional leverage. The strategy has been refined through more than a decade of personal application; the fund is the formalisation of that track record under a regulated structure.

Francois is personally invested in the fund alongside outside investors, on identical terms. Same risk, same upside, same downside.

Michael Marti, Co-Founder & Non-Executive Director.

Over nineteen years of experience at the intersection of financial markets, data infrastructure, and organisational leadership.

He spent thirteen years at Bloomberg, where he rose to APAC Head of Pricing and Regulatory Solutions, leading the regional team responsible for Bloomberg's evaluated pricing service (BVAL) and its suite of regulatory and accounting solutions across the Asia-Pacific region. In that capacity, he worked closely with banks, asset managers, hedge funds, insurance companies, and government agencies, advising on valuation, risk, and regulatory compliance frameworks.

Beyond Bloomberg, Michael serves as CFO and shareholder of the Albert Group, a diversified Mauritian business group, and as Co-Founding Partner of Gemstone Training & Consulting, where he advises organisations on strategy and governance. He also serves as an independent member of an investment committee in Mauritius.

He holds a Master's degree in Finance from IAE Aix-en-Provence, the same programme as Francois, and is based in Mauritius, where he contributes to firm-level strategy and governance.

Governance

Independent Investment & Risk Review Committee.

The fund's investment framework is subject to independent quarterly review by an Independent Investment & Risk Review Committee, bringing senior expertise in institutional risk management, quantitative analysis, and global capital markets. The Committee provides independent review of the risk framework, macro-risk discussion, and strategic oversight of the fund's investment process.

The Committee is advisory in nature: it does not hold executive authority over individual investment decisions. Its role is to provide a second, independent pair of eyes on framework, risk posture, and strategic direction.

Founding Member. The Committee's founding member is Wandrille Gaultier.

Wandrille Gaultier is a senior financial risk and capital markets professional with more than twenty years of international experience spanning asset management, institutional finance, quantitative risk, and sustainable investing. He currently serves at the United Nations Green Climate Fund, where he leads enterprise risk, treasury strategy, and balance-sheet optimisation for one of the world's foremost climate finance institutions.

Over the course of his career he has held positions with Amundi, Bloomberg, and FIS, building deep expertise across global markets, investment risk, derivatives, and institutional investment frameworks. He is also an adjunct professor at Yonsei University, the National University of Singapore, and the SP Jain School of Global Management, where he teaches finance and risk management.

Mr Gaultier is regularly invited to speak at leading industry conferences, including the Asia Risk Congress, on risk management, sustainable finance, and global capital markets. He holds a Master's degree in Financial Engineering from KEDGE Business School, together with the FRM, SCR, CAIA, and PRM designations.

What is the fund structure and tax regime?

Sidus Capital is a segregated portfolio of a British Virgin Islands Segregated Portfolio Company, registered as an Approved Fund with the British Virgin Islands Financial Services Commission. Investment management is carried out by Sidus Capital's dedicated investment management company. Interactive Brokers (BVI) acts as custodian and executing broker, and NAV Fund Services (Formidium) as independent administrator. Client assets are held segregated from the broker's own assets, and Singapore-listed securities trade and settle under MAS market rules. The British Virgin Islands are a tax-neutral domicile, with no income, capital gains, or withholding tax at the fund level. Investors are taxed according to their home jurisdiction. What is the subscription currency, and can I subscribe in other currencies?

The fund's base currency is SGD. Subscriptions and redemptions are denominated in SGD. Investors based in other currencies should consider the foreign exchange implications of subscribing, distributions, and redemptions. Risk and operational detail are described in the PPM.

When can I subscribe or redeem?

NAV is calculated semi-annually. Subscription and redemption windows align with the semi-annual NAV cycle, with notice periods and procedural detail set out in the offering documents. The semi-annual cadence reflects the long-term nature of the strategy and the liquidity profile of the underlying investments.

What is the minimum subscription, and who can invest?

The minimum subscription is SGD 300,000. The fund is a private placement and is available only to qualified investors who meet the eligibility criteria set out in the PPM. It is not offered or marketed to retail investors.

What reporting will I receive?

Investors receive semi-annual NAV statements and periodic commentary on portfolio activity, positioning, and market context. Audited annual financial statements are produced by the fund. Additional reporting can be agreed for specific institutional requirements.

Are the founders personally invested?

Yes. Both founders are personally invested in the fund on Day One, on the same terms as all other investors. The commitments are structural and are documented in the PPM.

What fees does the fund charge?

A management fee and performance fee structure with a hurdle and high-water mark applies. Full fee detail, including all operating expenses charged to the fund and the precise calculation methodology, is set out in the PPM and provided to qualified investors on request.
